1. About these terms
These terms govern your use of biverio.studio, our Mac apps, and the services we provide. "Biverio", "we" and "us" means Biverio Studios Ltd, a company registered in England and Wales (company number 17162474), registered office 6-7 St Mary At Hill, London EC3R 8EE, United Kingdom. Contact: hello@biverio.studio.
By using our website, apps or services you agree to these terms. If you are a consumer, nothing in them affects your statutory rights. Handfastly (handfastly.com) is provided under its own terms.
2. Using our website
You may browse and share links to biverio.studio for personal and business purposes. You must not misuse the site, attempt to gain unauthorised access to it, or copy its design, text, images or code for commercial use without our permission. We aim to keep information accurate, but the site is provided "as is" and may change without notice. Links to third-party sites are provided for convenience; we are not responsible for their content.
3. Mac apps
- Licence. Our apps (Wavestitch, Project Converter Pro, RAW Matcher Pro and Photo NSC) are licensed, not sold, through the Mac App Store under Apple's Standard Licensed Application End User License Agreement, together with these terms. If the two conflict, Apple's EULA applies to your licence.
- Purchases and subscriptions are sold and billed by Apple. Prices, free trials, renewals and cancellations are handled in your Apple Account; subscriptions renew automatically until cancelled at least 24 hours before the end of the current period.
- Refunds for App Store purchases are decided by Apple at reportaproblem.apple.com.
- Your files. The apps work on files on your Mac. You remain responsible for keeping backups of your media and projects before processing, renaming, converting or exporting them.
- Third-party software. Final Cut Pro, Premiere Pro, DaVinci Resolve, Lightroom and other names are trademarks of their owners. Our apps are independent tools and are not endorsed by those companies. Compatibility depends on those products, which may change.
4. Studio services
This section applies when you hire us for photo or video production, post-production, app or web development, design or related work ("Services").
4.1 Quotes and agreement
Each project is described in a written quote, proposal or statement of work ("Proposal") setting out the scope, deliverables, timeline and price. A contract is formed when you accept the Proposal in writing (including by email) or pay the deposit. If a Proposal conflicts with these terms, the Proposal wins for that project. Quotes are valid for 30 days.
4.2 Prices and payment
- Prices are in the currency stated in the Proposal (usually GBP, EUR or USD).
- Unless the Proposal says otherwise, we take a 50% deposit to book dates and start work, with the balance due on delivery.
- Invoices are payable within 14 days by card or bank transfer. Card payments are processed securely by Stripe; we never see your full card details.
- For overdue business invoices we may charge statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 and pause work until payment is received.
- Travel, accommodation, equipment hire, licensed music, stock media or other third-party costs are charged as set out in the Proposal or agreed with you in advance.
4.3 Changes and revisions
The Proposal states how many rounds of revisions are included (two rounds by default). Additional revisions or changes in scope are quoted separately before we do the work.
4.4 Cancellation and refunds
- You cancel: the deposit covers booked dates and work already done and is non-refundable once work has begun or within 14 days of a booked shoot date. Cancellations more than 30 days before a shoot date receive a refund of the deposit less any costs already incurred. Work completed up to cancellation is payable.
- Rescheduling: we will try to move a booking to a new date at no charge if you give at least 7 days' notice, subject to availability.
- We cancel: if we cannot deliver due to illness, emergency or events beyond our control, we will offer a new date or a suitable replacement where possible, or refund amounts paid for undelivered work.
- Consumers: if you book as an individual (not for business) at a distance, you have a 14-day right to cancel under the Consumer Contracts Regulations 2013. If you ask us to start work within those 14 days, you will pay for work done up to cancellation, and you lose the right to cancel once the service is fully performed.
- Refunds are made to the original payment method within 14 days.
4.5 Your responsibilities
You will give us accurate information, timely feedback and access to locations, people and materials we need. You confirm you have the rights to any materials you provide (logos, footage, music, text) and that using them won't infringe anyone's rights. You are responsible for obtaining permissions from people and venues to be filmed or photographed unless the Proposal says we will.
4.6 Ownership and usage rights
- When you have paid in full, you receive the rights to the final deliverables set out in the Proposal. For photo and video work, unless agreed otherwise, we keep copyright and grant you a perpetual, worldwide licence to use the final deliverables for your personal or business purposes. For software and web work, ownership of the custom code we write for you transfers to you on full payment.
- We keep ownership of our pre-existing tools, code libraries, templates, presets and know-how, and grant you a licence to use them as part of the deliverables.
- Raw footage, unedited images and project files are not included unless stated in the Proposal.
- We may show the finished work in our portfolio and on social media (including @bw_photo_video) unless you ask us not to in writing or the project is confidential.
4.7 Delivery and storage
We deliver files digitally via a download link or repository access. Please download and back up your deliverables promptly; we keep project files for up to 12 months after delivery but cannot guarantee long-term storage unless agreed.
4.8 Confidentiality
We keep your non-public information confidential and use it only to deliver the project, except where disclosure is required by law.
5. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or anything else that cannot be limited by law.
- For business customers, our total liability arising from a project is limited to the amount you paid us for that project, and we are not liable for indirect or consequential loss, or for loss of profits, revenue, data or goodwill.
- For our Mac apps, our liability is limited as set out in Apple's Standard EULA and, to the extent permitted by law, to the amount you paid for the app.
- For consumers, we are responsible for foreseeable loss caused by our breach of these terms or failure to use reasonable care and skill, but not for loss that was not foreseeable or for business losses.
- We are not liable for delays or failures caused by events beyond our reasonable control.
6. Privacy
We handle personal data as described in our Privacy Policy.
7. Complaints and disputes
If something goes wrong, email hello@biverio.studio and we'll try to resolve it quickly and fairly. These terms are governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction. If you are a consumer living in Scotland, Northern Ireland or the EU, you may also bring proceedings in your local courts and benefit from mandatory consumer protections in your country.
8. General
We may update these terms from time to time; the version on this page at the time you accept a Proposal or make a purchase applies to that transaction. If any part of these terms is found unenforceable, the rest remains in effect. Failing to enforce a right does not waive it. You may not transfer your rights under a project contract without our consent.
